1. Acceptance of Terms
By accessing or using Supaklin ("the Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service. Your continued use of the Service constitutes your acceptance of any modifications to these Terms.
2. Service Description and Modifications
Supaklin provides data processing services. We reserve the sole and absolute right to modify, suspend, discontinue, or terminate the Service, or any part thereof, at any time, with or without notice, and without liability to you or any third party. We do not guarantee uninterrupted availability of the Service.
3. User Responsibilities
You are solely and exclusively responsible for: (a) maintaining the confidentiality and security of your account credentials and API keys; (b) all activities occurring under your account; (c) ensuring that your use of the Service complies with all applicable laws and regulations; (d) the accuracy, quality, integrity, and legality of all data you submit to the Service; and (e) obtaining all necessary consents and authorizations for any personal data you process through the Service.
You represent and warrant that you have lawful rights to submit all data to the Service and that such data does not infringe any third-party rights.
4. Data Processing and GDPR Compliance
Lawful Basis: We process data necessary for the performance of our contract with you (Art. 6(1)(b) GDPR) and based on our legitimate interests in providing and improving the Service (Art. 6(1)(f) GDPR).
Your Role as Data Controller: When you submit personal data to the Service, you act as the Data Controller and are responsible for ensuring a valid legal basis for processing, providing appropriate privacy notices to data subjects, and complying with all applicable data protection laws.
Data Retention: Data submitted for processing is handled transiently for service delivery. We retain account information for as long as your account is active or as needed to provide you services and comply with legal obligations.
Analytics and Usage Data: We collect and analyze usage metrics to improve our service, including domain names (URLs) of content you process, API usage patterns, and performance metrics. This data is used for service optimization, quality improvement, and abuse prevention. Domain information is necessary to provide our core caching functionality and improve text cleaning accuracy for specific websites over time.
Data Subject Rights: You may exercise your rights under GDPR (access, rectification, erasure, portability, restriction, objection) by contacting us. We will respond within legally required timeframes.
International Transfers: Your data may be processed in jurisdictions outside the EEA. Where applicable, we implement appropriate safeguards as required by law.
5. Usage Limits and Restrictions
The Service is subject to usage limits. We reserve the right to throttle, suspend, or terminate access for requests that exceed limits or that we determine, in our sole discretion, constitute abuse, fraud, or violation of these Terms. You shall not reverse engineer, decompile, disassemble, or attempt to derive the source code or underlying algorithms of the Service.
6. Intellectual Property
The Service, including all associated intellectual property rights, is and shall remain the exclusive property of Supaklin. Nothing in these Terms grants you any right, title, or interest in the Service except for the limited right to use the Service in accordance with these Terms. All rights not expressly granted are reserved.
You retain ownership of your data. By using the Service, you grant us a limited, non-exclusive license to process your data solely for the purpose of providing the Service.
7. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
We do not warrant that: (a) the Service will meet your requirements; (b) the Service will be uninterrupted, timely, secure, or error-free; (c) the results obtained from the Service will be accurate, reliable, or complete; or (d) any errors in the Service will be corrected.
You acknowledge that you use the Service at your own risk and discretion. Any reliance on output from the Service is at your sole risk. You are responsible for validating all outputs before use.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SUPAKLIN, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, REVENUE, DATA, GOODWILL, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE CAUSE OF ACTION OR THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNTS PAID BY YOU TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the fullest extent permitted by law.
9. Indemnification
You agree to indemnify, defend, and hold harmless Supaklin and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) data you submit to the Service.
10. Termination
We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Service will cease immediately.
11. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the European Union and the applicable national law of the jurisdiction in which Supaklin is established, without regard to conflict of law principles. For consumers within the EU, mandatory consumer protection laws of your country of residence shall apply to the extent they provide greater protection.
Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts in the jurisdiction where Supaklin is established, except where mandatory law provides otherwise for consumers.
12. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
13. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Supaklin regarding the Service and supersede all prior agreements, understandings, and communications, whether written or oral.
